These Terms of Service (“Terms”) govern your use of Sapper PMO (“the App,” “Service,” “we,” “our,” “us”), an Atlassian Forge application available on the Atlassian Marketplace.

By installing or using the App, you (“Customer,” “you,” “your”) agree to be bound by these Terms. If you do not agree, do not install or use the App.

1. Definitions

  • “App”: Sapper PMO Forge application
  • “Customer”: The organization or individual who installs and uses the App
  • “Administrator”: Jira administrator with permissions to install and configure the App
  • “End Users”: Individuals within Customer’s organization who access Jira
  • “Atlassian Services”: Jira Cloud and related Atlassian products
  • “Atlassian Marketplace”: The platform where the App is distributed
  • “Vendor”: Softwired, the company providing the App

2. License Grant

2.1 License Scope

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to:

  • Install the App in your Jira Cloud instance(s)
  • Use the App’s investment-governance overlay — Investment Health, Investment Thesis, Work Packages, RAID, Decisions, Changes, Portfolio Health, and the Sapper PMO Copilot (Rovo agent)
  • Record and present governance information for your projects and portfolio
  • Optionally link and create Confluence governance documents at your request

2.2 License Restrictions

You may NOT:

  • Reverse engineer, decompile, or disassemble the App
  • Modify, adapt, or create derivative works based on the App
  • Rent, lease, sublicense, or distribute the App to third parties
  • Use the App for illegal, fraudulent, or malicious purposes
  • Circumvent usage limits or technical restrictions
  • Share your license with unauthorized parties

2.3 License Types

Trial License:

  • Free evaluation period (as specified in the Marketplace listing)
  • Feature access per the Marketplace listing
  • Automatically expires after the trial period

Paid License:

  • Full feature access per your subscribed tier
  • Based on user tiers (pricing set in the Atlassian Marketplace)
  • Billed monthly or annually via Atlassian

Expired License:

  • App features disabled
  • Data preserved but inaccessible until renewal
  • Renewed licenses restore full functionality

3. Subscription and Billing

3.1 Fees

  • Subscription fees are determined by user tier (set in the Atlassian Marketplace)
  • Billing handled exclusively by Atlassian
  • Prices may change with 30 days’ notice via the Marketplace listing

3.2 Payment Terms

  • Payment due per Atlassian Marketplace terms
  • Subscriptions renew automatically unless cancelled
  • Refunds subject to the Atlassian Marketplace refund policy

3.3 Trial Period

  • Trial period as specified in the Marketplace listing (typically 30 days)
  • Trial converts to a paid subscription automatically unless cancelled
  • Trial feature access per the Marketplace listing

3.4 Cancellation

  • Cancel anytime via the Atlassian Marketplace
  • No refunds for partial billing periods (per Atlassian policy)
  • App access terminates at the end of the billing period
  • Data deleted upon app uninstallation

4. Customer Responsibilities

4.1 Authorized Use

You are responsible for:

  • Ensuring Administrators have proper authority to install and configure the App
  • Obtaining necessary permissions from End Users (if required by your policies)
  • Complying with your organization’s data governance policies
  • Ensuring the information you record in the App is accurate and authorized
  • Communicating governance practices to affected users in your organization

4.2 Account Security

You must:

  • Maintain the security of your Jira instance
  • Restrict Administrator and governance-group access to authorized personnel only
  • Notify us immediately of any unauthorized App access
  • Use the App in compliance with Atlassian’s Terms of Service

4.3 Compliance

You agree to:

  • Use the App in compliance with applicable laws and regulations
  • Respect intellectual property rights
  • Not use the App for illegal or harmful purposes
  • Comply with data protection laws (GDPR, CCPA, etc.)

5. Our Responsibilities

5.1 Service Availability

We will:

  • Use commercially reasonable efforts to maintain App availability
  • Provide updates and security patches as needed
  • Notify customers of major service disruptions (via Marketplace or email)

Service level: We do not guarantee 100% uptime. The App is provided “as-is” and dependent on Atlassian Forge infrastructure.

5.2 Support

We provide:

  • Documentation (Marketplace listing, in-app guidance)
  • Email support at help@softwired.com.au
  • An in-app feedback control for bug reports and feature requests
  • Response within 7 business days for support inquiries

Support limitations:

  • No phone support for product issues
  • No 24/7 support
  • Best-effort support for free trial users
  • Priority support for paid customers

5.3 Updates and Maintenance

We reserve the right to:

  • Update the App with new features and bug fixes
  • Perform scheduled maintenance (with advance notice when possible)
  • Discontinue features with 90 days’ notice

Updates are deployed automatically via Forge. You do not need to manually update.

6. Data and Privacy

6.1 Data Ownership

You retain all ownership rights to your data:

  • Jira projects, issues, and attachments remain your property
  • Governance records and app configuration data are your property
  • We claim no ownership of any data processed by the App

6.2 Data Processing

By using the App, you authorize us to:

  • Access project context and user identifiers for governance purposes
  • Store governance records in Forge storage
  • Process data as described in our Privacy Policy

6.3 Data Security

We implement reasonable security measures to protect your data. However, no system is 100% secure. You acknowledge the inherent risks of internet-based services.

6.4 Data Deletion

Upon app uninstallation, all of the App’s stored governance data is automatically deleted from Forge storage. Your underlying Jira issues and Confluence pages are unaffected.

7. Intellectual Property

7.1 Ownership

The App and all related intellectual property rights are owned by Softwired. These Terms do not grant you any rights to:

  • Source code
  • Trademarks, logos, or branding
  • Patents or trade secrets
  • Proprietary algorithms or methods

7.2 Feedback

If you provide feedback, suggestions, or ideas about the App:

  • You grant us a perpetual, royalty-free license to use them
  • We are not obligated to implement feedback
  • No compensation is owed for feedback

8. Warranties and Disclaimers

8.1 Limited Warranty

We warrant that the App will substantially perform as described in the Marketplace listing when used as intended.

8.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE APP IS PROVIDED “AS-IS” WITHOUT WARRANTIES OF ANY KIND
  • WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE
  • WE DO NOT WARRANT THAT DATA WILL NOT BE LOST OR CORRUPTED

Nature of the App: Sapper PMO is a governance and reporting overlay. It records and presents what users enter and what it reads from Jira; it does not itself make project decisions, and it deliberately does not compute ROI. Governance and investment decisions remain yours. Recording inaccurate or incomplete information is user responsibility, not an App defect.

9. Limitation of Liability

9.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE APP
  • DAMAGES CAUSED BY THIRD-PARTY SERVICES (INCLUDING ATLASSIAN)

9.2 Cap on Liability

OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM.

9.3 Essential Purpose

THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

9.4 Exceptions

Some jurisdictions do not allow limitation of liability for personal injury or certain consumer rights. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless Softwired, its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from:

  • Your use of the App
  • Violation of these Terms
  • Violation of applicable laws or regulations
  • Infringement of third-party rights
  • Inaccurate or unauthorized governance information recorded in the App

11. Term and Termination

11.1 Term

These Terms remain in effect while the App is installed in your Jira instance.

11.2 Termination by Customer

You may terminate by uninstalling the App via the Atlassian Marketplace or cancelling your subscription. Upon uninstallation: the license terminates immediately; all of the App’s stored governance data is automatically deleted; no refunds are given for partial billing periods.

11.3 Termination by Us

We may suspend or terminate your access if you violate these Terms, your account is delinquent (per Atlassian billing), it is required by law or court order, or we discontinue the App (with 90 days’ notice).

11.4 Effect of Termination

Upon termination: the license terminates immediately; you must cease all use of the App; the App’s stored governance data is deleted per Section 11.2; your underlying Jira issues and Confluence pages are unaffected.

12. Modifications to Terms

We may modify these Terms at any time by updating the “Last Updated” date, posting revised Terms in the Marketplace listing and repository, and notifying customers via email (if contact information is available).

Continued use constitutes acceptance of revised Terms. We will provide at least 30 days’ notice for material changes affecting your rights.

13. Modifications to the App

We reserve the right to add, modify, or remove features; update pricing (with 30 days’ notice); or discontinue the App (with 90 days’ notice).

Discontinuation: If we discontinue the App, we will provide 90 days’ advance notice, prorated refunds for annual subscriptions (per Atlassian policy), and assistance for data export or migration (if possible).

14. Third-Party Services

14.1 Atlassian Dependency

The App is built on Atlassian Forge and depends on Jira Cloud, the Atlassian Marketplace, Forge infrastructure, Atlassian Confluence (for the optional “Supporting documents” feature), and Atlassian Rovo (for the optional Sapper PMO Copilot).

Atlassian terms: You must comply with Atlassian’s Terms of Service. Atlassian is not a party to these Terms.

14.2 No Other Third-Party Services

The App does not integrate with or depend on any third-party services beyond Atlassian infrastructure. The in-app feedback control deep-links your browser to Softwired’s own Atlassian-hosted Jira Service Management portal; it is not a separate third-party service.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of Queensland, Australia, without regard to conflict of law principles.

15.2 Jurisdiction

Any disputes shall be resolved in the courts of Queensland, Australia.

15.3 Arbitration (Optional)

Parties may agree to binding arbitration for disputes (contact us to arrange).

16. General Provisions

Entire agreement: These Terms, together with the Privacy Policy and Marketplace listing, constitute the entire agreement between you and us regarding the App.

Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

Waiver: Failure to enforce any provision does not constitute a waiver of that provision.

Assignment: You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.

Force majeure: We are not liable for failure to perform due to circumstances beyond our reasonable control (for example, natural disasters, internet outages, Atlassian service disruptions).

Notices: To Customer — via Marketplace notifications, email, or in-app messages. To us — help@softwired.com.au.

Language: These Terms are provided in English. Translations may be provided for convenience, but the English version governs.

18. Acknowledgment

BY INSTALLING OR USING SAPPER PMO, YOU ACKNOWLEDGE THAT:

  • You have read and understood these Terms
  • You agree to be bound by these Terms
  • You have authority to accept these Terms on behalf of your organization
  • You have read and understood our Privacy Policy
